By accessing or using the License Verification Server in any way — including visiting this website, creating an account, installing the LVS Agent, calling any API, or connecting a website to the Service through the License Service module for Drupal — you agree to be bound by these Terms in their entirety. If you do not agree, you may not access or use the Service in any form, create an account, or access an existing account.
These Terms & Conditions ("Terms") govern your access to and use of the License Verification Server service, website, desktop applications, LVS Agent software, related APIs, and the client integrations we provide for connecting your own websites and applications (including the License Service module for Drupal) (collectively, the "Service") operated by AideaMaker ("AideaMaker," "we," "us," or "our"). By creating an account, purchasing a license, activating a license, installing the LVS Agent, connecting a website through the License Service module, or otherwise using the Service in any way, you ("you," "your," or "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service, create an account, or access any existing account.
1. Acceptance of Terms
By accessing or using the Service you confirm that you have read, understood, and agree to these Terms and our handling of data as described herein. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity. Use of any part of the Service — including this website, the APIs, the desktop applications, the LVS Agent, and the License Service module for Drupal — constitutes your acceptance of these Terms in full, whether or not you have created an account or clicked an acceptance control. It is your responsibility to review these Terms periodically.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for ensuring that your use of the Service complies with all laws and regulations that apply to you.
3. Accounts and Security
- You are responsible for maintaining the confidentiality of your account
credentials, license keys, and any signing keys issued to you.
- You are responsible for all activity that occurs under your account.
- You must notify us promptly of any unauthorized use of your account or any other
breach of security.
- We are not liable for any loss or damage arising from your failure to safeguard
your credentials.
- API keys issued to your account are confidential. You are responsible for all
activity carried out under your API keys. You may not share, publish, or transfer them. We may suspend or revoke API keys at any time for violations of these Terms or to protect the stability of the Service.
- We may impose and change rate limits and quotas on API usage at any time.
4. Licenses and Permitted Use
- The Service issues software licenses subject to the seat limits, term lengths,
device bindings, and other restrictions associated with each license.
- Licenses are granted on a limited, non-exclusive, non-transferable,
non-sublicensable basis, except where an explicit transfer feature is provided.
- You may not exceed the seat or device limits of a license, share license or API
keys beyond the licensed scope, or circumvent any technical enforcement, activation, or anti-piracy mechanism.
- We reserve the right to suspend, revoke, or refuse any license that we reasonably
believe is being used in violation of these Terms.
5. Fees, Billing, and Subscriptions
- Prices are stated at the point of purchase and are exclusive of taxes unless
otherwise noted. You are responsible for all applicable taxes.
- The Service is offered under a tiered subscription model. A Free plan is
available at no charge and is subject to an end-user limit. Paid plans (Basic, Starter, Growth, and Scale) include higher or unlimited end-user limits and additional features as described on the pricing page at the time of purchase. Plan limits are enforced server-side; attempting to exceed a plan's end-user limit will be rejected until you upgrade to a higher plan.
- The Scale plan includes a usage-based component: a base monthly fee plus a
per-user charge for end-users above the included threshold, billed at the rate in effect at the start of the billing period.
- Subscription licenses renew automatically for successive terms at the
then-current rate unless cancelled before the renewal date.
- By providing a payment method you authorize us and our payment processors to
charge the applicable fees, including recurring renewal fees, to that method.
- Payments are processed by third-party payment providers; your use of those
providers is subject to their own terms.
6. Metered Overage Billing
When a tenant's active user count exceeds their plan's seat limit and Stripe metered billing is configured for their account, additional users beyond the limit are billed as overage via Stripe Usage Records. Overage is charged per additional seat above the plan's included threshold and will appear as a line item on the tenant's next Stripe invoice. Overage rates are set by the operator in the admin Billing settings and may change at the start of any billing period. The tenant is solely responsible for monitoring their active user count, remaining within their plan's included seats if they do not wish to incur overage, and ensuring that a valid payment method is on file to cover any overage charges. AideaMaker is not responsible for unexpected overage charges arising from a tenant's failure to monitor usage or maintain a valid payment method.
7. Automatic Tier Upgrades
If you enable the automatic tier upgrade feature in your account settings, your account may be automatically upgraded to the next pricing tier when your licensed-user count reaches the current tier's limit. Billing for the upgraded tier begins immediately upon upgrade. By enabling this feature, you expressly consent to these automatic billing changes. Disabling the feature will not reverse a previously completed upgrade. AideaMaker is not responsible for charges incurred while this feature is enabled.
8. No Refunds
All sales are final. There are no refunds and no pro-rated refunds for cancellations. Cancelling a subscription stops future renewals but does not entitle you to a refund of any amount already paid, in whole or in part, for the current or any prior term. Fees paid are non-refundable to the maximum extent permitted by applicable law, including in cases of partial-term cancellation, non-use, or early termination.
9. Cancellation and Termination
- You may cancel a subscription at any time; cancellation takes effect at the end
of the current paid term, and no refund is provided for the remaining period.
- We may suspend or terminate your access to the Service, or any license, at any
time for any violation of these Terms or any conduct we reasonably believe is harmful to the Service, other customers, or us.
- Upon termination, your right to use the Service and any associated licenses
ceases immediately. Provisions that by their nature should survive termination will survive, including sections on fees, disclaimers, limitation of liability, and indemnification.
10. Acceptable Use
You agree not to:
- Use the Service for any unlawful, infringing, or fraudulent purpose.
- Reverse engineer, decompile, or attempt to extract source code, signing keys, or
secrets from the Service except to the extent expressly permitted by law.
- Interfere with or disrupt the integrity or performance of the Service, including
by attempting to gain unauthorized access to any system or data.
- Resell, redistribute, or commercially exploit the Service or licenses except as
expressly authorized in writing.
11. Software Integrity and Anti-Tampering
Users and licensees are strictly prohibited from:
- Modifying, reverse-engineering, decompiling, disassembling, or creating
derivative works of the LVS Agent or any component of the License Verification Server.
- Circumventing, bypassing, disabling, or otherwise interfering with any licensing
enforcement mechanism, security feature, or access control built into the Service or the LVS Agent.
- Attempting to gain unauthorized access to the Service or any other account's data.
Violation of this section constitutes a material breach of these Terms and may also violate applicable law, including the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and the Digital Millennium Copyright Act (17 U.S.C. § 1201). Upon discovering any violation, AideaMaker reserves the right to immediately terminate the offending account, seek injunctive relief without bond, and pursue all available legal remedies including damages, attorney's fees, and costs.
12. Intellectual Property
The Service, including all software, designs, text, graphics, logos, and the "Notary Seal" branding, is owned by AideaMaker or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights. Except for the limited license expressly granted to use the Service, all rights are reserved. AideaMaker is the owner and operator of the Service, reachable by post at AideaMaker LLC, 10685-B Hazelhurst Dr. # 38673, Houston, TX 77043.
13. Privacy and Data
- We collect and process the account, customer, license, activation, website URL,
and payment information necessary to provide the Service.
- You are responsible for the accuracy of the information you provide and for
obtaining any consents required from your own end users.
- We implement reasonable security measures, but no method of transmission or
storage is completely secure, and we cannot guarantee absolute security.
- By providing your contact details you consent to receive service-related
communications from AideaMaker (account notices, license status, password resets, contact-form confirmations). You may opt out of promotional messages at any time; transactional and security messages may still be sent.
- We collect usage, diagnostic, and analytics data to operate, secure, and
improve the Service. Our website analytics are first-party and cookie-free: we record aggregate page-view information (such as the page requested, referrer, campaign tags, and device or browser category) without cookies or cross-site tracking. We use this data in aggregate and do not sell it.
- The Service also keeps operational and audit records of significant account
events — such as downloads, license activations, renewals, payments, and administrative actions — for security, billing, anti-fraud, and support purposes.
### 13.1 United States Service — No GDPR or Foreign Privacy-Regime Support The Service is designed for, marketed to, and operated under the laws of the United States (specifically the State of Texas — see § 21). It is not designed to comply with, and does not implement the compliance machinery of, the General Data Protection Regulation ("GDPR"), the UK GDPR, the Swiss Federal Act on Data Protection, Brazil's LGPD, Canada's PIPEDA, China's PIPL, or any other non-U.S. privacy law (collectively, "Foreign Privacy Regimes").
This is a disclosure, not a geographic restriction. You are welcome to use the Service from anywhere you choose; what you cannot expect from us is Foreign-Privacy-Regime compliance. The decision whether the protections described in any Foreign Privacy Regime are something you need — and whether to use the Service anyway, knowing those protections are not provided — is yours to make. By using the Service you accept that responsibility.
- GDPR and other Foreign Privacy Regimes are NOT supported. AideaMaker
does not implement or honor data-subject-access, data-portability, "right-to-be-forgotten," restriction-of-processing, objection-to-processing, or supervisory-authority complaint mechanisms. No controller/processor obligations, transfer mechanisms, or representative appointments under any Foreign Privacy Regime apply to our processing.
- No GDPR-style "right to delete." The United States does not recognize
a general right to erasure of personal data, and AideaMaker does not offer one. We retain account, transaction, billing, audit, and ledger data for the periods we determine are necessary for legitimate business, legal, tax, anti-fraud, and dispute-resolution purposes. See § 13.3 (ledger immutability).
- Foreign data-transfer mechanisms are not offered. AideaMaker does not
execute Standard Contractual Clauses, Data Processing Addenda, Binding Corporate Rules, or any equivalent transfer agreement. Requests for any such instrument will be declined.
- No representations under Foreign Privacy Regimes. Nothing AideaMaker
publishes, sends, or stores constitutes a notice, disclosure, consent record, or legal-basis demonstration under any Foreign Privacy Regime, even if it superficially resembles one.
- Your election. By using the Service you accept that Foreign Privacy
Regimes are not honored, that you are responsible for evaluating whether any such regime would apply to your use (including your handling of your own end users' data), and that you have decided to proceed on that basis.
### 13.2 Account Changes Available to All U.S. Users Within the limits of § 13.1, every account holder may at any time:
- Update their profile information (name, company, contact details) through
the Service.
- Change or reset their password through the Service.
- Cancel their subscription per § 9, which stops further billing.
These self-service controls are available to all U.S. users and are not the GDPR-style "data-subject rights" disclaimed in § 13.1.
### 13.3 Ledger Immutability The Service's payment ledger (the append-only event log of every transaction, status change, settlement, refund, and chargeback) is the authoritative record of money movement on the Service and is treated as immutable for the entire retention period. AideaMaker:
- Does not offer, and will not perform, any modification, redaction,
anonymization, or deletion of individual ledger events, regardless of the source of the request (customer request, foreign privacy-regime "right to delete," informal request, or otherwise).
- Enforces ledger immutability at the database layer through SQL triggers
that reject UPDATE and DELETE statements against the ledger table.
- Considers any attempt to circumvent ledger immutability — by AideaMaker
personnel, contractors, or third parties — a serious internal-control violation.
Ledger immutability is required for accurate accounting, tax reporting, chargeback defense, fraud investigation, audit, and legitimate dispute resolution. AideaMaker operates no automated data-purge schedule and does not delete account, transaction, or operational records on a routine basis.
14. Third-Party Services
The Service integrates with third-party providers for email delivery and payment processing. We are not responsible for the availability, accuracy, or conduct of any third-party service, and your use of those services is governed by their own terms and policies.
15. AI-Generated Output
The Service includes AI-assisted features that generate text, suggestions, and other output using automated language models.
- AI-generated output may be inaccurate, incomplete, outdated, or unsuitable for
your specific purpose.
- Output is provided for informational purposes only and does not constitute
professional, legal, financial, technical, or other expert advice. You are solely responsible for reviewing and independently verifying any output before relying on it or acting on it.
- AideaMaker makes no warranty as to the accuracy, reliability, or fitness of
AI-generated output and is not liable for any decisions made, or actions taken, based on such output.
16. Disclaimer of Warranties
THE SERVICE, INCLUDING THE LVS AGENT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AIDEAMAKER MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING AVAILABILITY, ACCURACY, RELIABILITY, SECURITY, OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDEAMAKER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, DATA, BUSINESS, OR PROFITS, ARISING FROM USE OF THE SERVICE, INSTALLATION OR REMOVAL OF THE LVS AGENT, ANY SERVICE INTERRUPTION, SECURITY BREACH, OR ANY OTHER MATTER RELATED TO THE SERVICE — EVEN IF AIDEAMAKER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AIDEAMAKER'S MAXIMUM TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AIDEAMAKER IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
18. Indemnification
You agree to indemnify, defend, and hold harmless AideaMaker and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including any copyright, trademark, or intellectual-property rights.
19. Feature Availability
Features and functionality are subject to change at any time without prior notice. AideaMaker may add, modify, discontinue, or remove features or aspects of the Service at its sole discretion. These Terms govern the Service as it exists at the time of use. Feature availability may vary by pricing tier. AideaMaker is not liable for any changes to features or the discontinuation of any feature.
20. Changes to the Service or Terms
AideaMaker may modify the Service or these Terms at any time. Changes take effect immediately upon posting to this website with an updated effective date. Continued use of the Service after any change constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically. If a modification is material, we will make reasonable efforts to notify account holders — which may include sending an email to the contact address associated with your account and/or displaying a notice when you next sign in to your account portal — and the effective date above will be updated. Non-material changes take effect upon posting without individual notification. Your continued use of the Service after the effective date of any change constitutes your acceptance of the revised Terms.
21. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.
Informal resolution. Before filing any formal claim, you agree to contact us through https://www.licenseverificationserver.com/contact and describe the dispute; we will attempt to resolve it informally within 30 days.
Binding arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including any question of arbitrability) will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, if you are a business, its Commercial Arbitration Rules), as then in effect. Arbitration will be conducted in Bexar County, Texas, unless both parties agree otherwise in writing. The arbitrator's award will be final and binding, and judgment may be entered in any court of competent jurisdiction.
Class action and jury-trial waivers. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS-ACTION PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY CLASS PROCEEDING. BOTH PARTIES WAIVE ALL RIGHTS TO A JURY TRIAL.
Small-claims carve-out. Either party may bring an individual claim in a small-claims court of competent jurisdiction in lieu of arbitration.
IP carve-out. Nothing prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual-property rights or confidential information.
Costs. Each party bears its own attorneys' fees unless the arbitrator awards fees as authorized by applicable law. AAA filing fees are governed by the AAA fee schedule.
22. Severability and Waiver
If any provision of these Terms is held to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
23. Entire Agreement
These Terms constitute the entire agreement between you and AideaMaker regarding the Service and supersede all prior agreements and understandings. Any product-specific license terms or end-user license agreements presented at activation are incorporated by reference.
24. License Types
License Types are an organizational classification applied to license levels within the Service. They categorize license levels by integration kind — for example, Drupal Websites, Ubuntu Websites, or Custom Integrations. Three types are provided by default; the operator may add, edit, or delete types at any time through the admin interface. Each license level belongs to exactly one License Type, and issuing a license requires selecting a type and a compatible level within that type. A License Type may additionally declare a required activation field — such as the site URL for Drupal websites or the machine identifier for Ubuntu deployments — which is enforced when a license of that type is activated: an activation request that does not supply the declared field is refused. This requirement applies only at activation; the contents of signed license tokens and the cryptographic validation of license keys remain unaffected. Operators may reorganize types and levels, and change a type's required activation field, at any time; such changes apply to subsequent activations and do not invalidate licenses or device activations already in place.
25. The License Service Module, API Keys, and Per-Site Activation
The License Service module for Drupal (the "License Service module") connects a single Drupal website to the Service. To connect, each tenant account is issued an API key, which the website uses to authenticate to the Service and to activate its license. The API key is configured on your website and should be stored securely — for example, using Drupal's Key module — and is confidential as described in Section 3. You are responsible for all activity carried out under your API key.
Each API key authorizes activation on the number of websites permitted by your plan (by default, a single website at a time). Activating a key on an additional website beyond your plan's limit will be rejected until an existing activation is released.
When a website activates through the License Service module, the Service records the full scheme and host of that website's URL (e.g. `https://example.com`) alongside the activation record. This URL is used solely for administrative identification and reporting within the platform — to let platform administrators identify which website an activation belongs to. It is not shared with third parties, is not used for marketing, and may be removed or updated by contacting support or through the account portal.
26. Complimentary and Admin-Granted Licenses
From time to time we may, at our sole discretion, provide a complimentary, admin-granted, or otherwise gratis license level or API key to a user or account ("Complimentary License"). Complimentary Licenses are provided as a courtesy and do not create any contractual right or ongoing entitlement. We reserve the right to modify, downgrade, or revoke any Complimentary License at any time and for any reason, with or without notice. Such revocation does not constitute a breach of these Terms or entitle you to any refund or compensation.
